Director services
Our director’s work with Luxembourg companies (and Special Purpose Vehicles, SPV), when it is imperative that the company has local, Luxembourg resident directors. This can provide legitimate tax benefits to the company and the group, as well as providing other regulatory benefits. Our directors are experienced and knowledgeable individuals, who understand the needs of private equity, real estate, asset structuring and investment fund structures. Before any of our directors can be appointed, we need to have a thorough and comprehensive understanding of the company and its business, as well as the reason that our services are required. It is a condition of any appointment that the directors are able to exercise their independent judgment and are fully involved in any decision. Although our directors are often representing the interests of a shareholder, they are not a nominee director in the purest sense.
Substance services
Substance is a key element in international taxation and is relevant for the application of both domestic tax law and tax treaties. More precisely, substance is crucial (i) for managing Luxembourg tax residency, (ii) to avoid a situation in which a corporate structure is (partially) disregarded under foreign anti-abuse provisions and (iii) to ensure that Luxembourg companies are considered as the beneficial owners of their income.
The notion of substance involves a number of elements such as: infrastructure (office lease, equipment, facilities and employees, etc.); corporate governance (directorship, involvement of Luxembourg directors, place where decisions are taken, etc.); functional and risk profile; legal documentation and contractual terms; transfer pricing and related documentation; the actual conduct of business activities, and the business purpose.
The level of substance has to be tailored to each investment structure, responding to the requirements in the other jurisdictions involved and considering the existing operations of investors in Luxembourg and abroad.
